1. Introduction

These Terms and Conditions ("Terms") govern your use of services provided by TRIARCH LABS LIMITED (Company Number 16554706), a company registered in England and Wales.

By engaging our services, you agree to be bound by these Terms. Please read them carefully before proceeding.

2. Services

TRIARCH LABS LIMITED provides SaaS development services including but not limited to:

  • Custom software development
  • Web and mobile application development
  • UI/UX design services
  • Cloud infrastructure setup and management
  • Technical consulting and support

3. Project Agreement

Each project will be defined by a separate Statement of Work (SOW) or Project Agreement that includes:

  • Project scope and deliverables
  • Timeline and milestones
  • Payment terms and fees
  • Specific terms applicable to the project

4. Payment Terms

4.1 Fees

All fees will be specified in the Project Agreement. Unless otherwise stated, all prices are quoted in GBP and are exclusive of VAT.

4.2 Payment Schedule

Payment terms will be outlined in each Project Agreement. Typical payment structure includes:

  • Initial deposit upon project commencement
  • Milestone-based payments during project execution
  • Final payment upon project completion

4.3 Late Payment

Invoices are payable within 14 days of the invoice date. Late payments may incur interest charges in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5. Intellectual Property Rights

5.1 Client-Owned IP

Upon full payment, ownership of custom-developed work product specifically created for the client will transfer to the client, unless otherwise specified in the Project Agreement.

5.2 Pre-existing IP

We retain ownership of all pre-existing intellectual property, tools, frameworks, and methodologies. The client receives a license to use such materials as part of the delivered solution.

5.3 Third-Party Components

Third-party components and open-source software are subject to their respective licenses.

6. Client Responsibilities

The client agrees to:

  • Provide timely feedback and approvals
  • Supply necessary information, materials, and access
  • Designate a point of contact for project communications
  • Make timely payments as per the agreed schedule

7. Confidentiality

Both parties agree to keep confidential all proprietary information shared during the course of the engagement. This obligation survives termination of the agreement.

8. Warranties and Disclaimers

8.1 Our Warranties

We warrant that our services will be performed with reasonable skill and care in accordance with industry standards.

8.2 Warranty Period

We provide a warranty period (typically 30-90 days as specified in the Project Agreement) for bug fixes and corrections to delivered work.

8.3 Disclaimers

Except as expressly stated, all services are provided "as is" without warranties of any kind, either express or implied.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the total fees paid for the specific project
  • We shall not be liable for indirect, consequential, or incidental damages
  • Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation

10. Termination

10.1 Termination for Convenience

Either party may terminate the agreement with 30 days' written notice. The client shall pay for all work completed up to the termination date.

10.2 Termination for Cause

Either party may terminate immediately if the other party materially breaches these Terms and fails to remedy within 14 days of written notice.

11. Force Majeure

Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including but not limited to acts of God, war, terrorism, pandemic, or government restrictions.

12. Data Protection

Both parties shall comply with applicable data protection laws, including UK GDPR. Please refer to our Privacy Policy for more information.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.

14. Amendments

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified Terms.
